Milan, 14 September 2026 - UniCredit S.p.A. ("UniCredit") informs that on 11 September 2026 the minutes of the Board of Directors' meeting held on 10 September 2026 and the new text of the Articles of Association, as amended in Article 6, were registered with the Milan, Monza, Brianza and Lodi Companies Register.
During that meeting the Board, exercising the delegation granted by the Extraordinary Shareholders' Meeting of 4 May 2026 pursuant to Article 2443 of the Italian Civil Code, resolved the share capital increase against payment, with exclusion of the pre-emptive right pursuant to Article 2441, paragraph 4, first sentence, of the Italian Civil Code, reserved to the voluntary public takeover offer launched by UniCredit on all the ordinary shares of Commerzbank Aktiengesellschaft not directly held by UniCredit (the "Offer").
The minutes and the new Articles of Association are available at the Company's Registered Office, as well as on the authorized storage mechanism (www.emarketstorage.it/en) and on the UniCredit website (www.unicreditgroup.eu/egm4may2026).
