for holding an Extraordinary General Meeting of Shareholders of "Sopharma" AD, scheduled for October 30, 2026 and in the absence of a quorum on this date - for November 20, 2026
Sofia, Bulgaria, September 25, 2026 - According to the requirements of Art. 100t of the Law on Public Offering of Securities the Board of directors of "Sopharma" AD (SFA: "BSE" AD, SPH: Warsaw Stock Exchange) presents the following materials on the agenda of EGM convened for October 30, 2026 and in the absence of a quorum on this date - for November 20, 2026, to the attention of shareholders, which will be available on the website of Extri News (www.x3news.com), in the FSC system, on the Company's website https://www.sopharmagroup.com/bg/investitori/korporativni-sabitia/obshto-sabranie-na-aktsionerite and on the website www.investor.bg, as well as in hard copy at the address of the Company:
1. Minutes of a meeting of the Board of Directors for convening an Extraordinary Meeting of Shareholders of "Sopharma" AD;
2. Invitation to convene the Extraordinary General Meeting of Shareholders (EGM) of "Sopharma" AD;
3. Power of attorney - an example for representing a shareholder at the EGM;
4. Declaration for voting by correspondence - an example for the EGM;
5. For item 1 of the agenda: Approval of the 6-month financial report for the first half of 2026- is already available on the website of Extri News (www.x3news.bg), in the FSC system, on the company's website and on the website www.investor.bg;
6. For item 2 of the agenda: Approval of a decision under Article 30, paragraphs 5-7 of the Company's Articles of Association for the distribution of profit and payment of an interim dividend based on the adopted 6-month financial report;
7. For item 3 of the agenda: Election of a registered auditor to perform a mandatory assurance engagement regarding the sustainability of the consolidated sustainability report of "Sopharma" AD for 2026, if applicable.
